1. Security and Issuer

This Amendment No. 1 to a Statement on Schedule 13D filed by Ernst Ohnell and Patricia R. Ohnell relates to the Common Stock, $2.50 par value ("Common Stock") of KEWAUNEE SCIENTIFIC CORPORATION, a Delaware corporation (the "Corporation"), whose principal executive offices are located at 2700 W. Front Street, Statesville, NC 28677.

Items 3 and 5 of the Schedule 13D are hereby amended as follows:

Item 3 is hereby amended to read as follows:

Grand Total for All Persons 166,700 Shares $ 1,584,039.56

Since 1994, but primarily in 1998 and 1999, Ernst Ohnell has purchased a total of 112,700 shares of Common Stock of the Issuer for an aggregate purchase price of $1,029,536.06. In the six months prior to November 30, 1999, Patricia R. Ohnell has purchased a total of 19,000 shares of Common Stock of the Issuer for an aggregate purchase price of $194,898.25.  In February, 2000, Ernst Ohnell purchased an additional 25,000 shares of Common Stock of the Issuer and Patricia R. Ohnell purchased an additional 20,000 shares of the Issuer.  See Item 5 below.

All purchases were made with personal funds; no part of the funds used to purchase the Common Stock described herein was borrowed or otherwise obtained for the purpose of acquiring, holding, trading or voting the securities described herein.

 
 

Item 5. Interest in the Securities of the Issuer

(a) Ernst Ohnell directly owns 127,700 shares of Common Stock of the Issuer representing approximately 5.178% of the shares issued and outstanding (based upon the number of Shares outstanding on December 13, 1999, as disclosed in the Issuer's Quarterly Report on Form 10Q for the quarter ended October 31, 1999.). Mr. Ohnell may be deemed to beneficially own an additional 39,000 shares of Common Stock of the Issuer representing approximately 1.581% of the shares issued and outstanding (based upon the number of Shares outstanding on December 13, 1999, as disclosed in the Issuer's Quarterly Report on Form 10Q for the quarter ended October 31, 1999) owned by Patricia R. Ohnell, his wife.

Thus, Mr. Ohnell may be deemed to beneficially own 166,700 shares of Common Stock of the Issuer, representing approximately 6.759% of the shares issued and outstanding (based upon the number of Shares outstanding on December 13, 1999, as disclosed in the Issuer's Quarterly Report on Form 10Q for the quarter ended October 31, 1999.)

Mr. Ohnell expressly disclaims beneficial ownership of the shares of Common Stock of the Issuer owned by Patricia R. Ohnell.

Patricia R. Ohnell owns directly 39,000 shares of the Common Stock of the Issuer representing approximately 1581% of the shares issued and outstanding (based upon the number of Shares outstanding on December 13, 1999, as disclosed in the Issuer's Quarterly Report on Form 10Q for the quarter ended October 31, 1999.) Patricia R. Ohnell may be deemed to beneficially own an additional 127,700 shares of Common Stock of the Issuer representing approximately 5.178% of the shares issued and outstanding (based upon the number of Shares outstanding on December 12, 1999, as disclosed in the Issuer's Quarterly Report on Form 10Q for the quarter ended October, 1999) owned by Ernst Ohnell, her husband.

Patricia R. Ohnell expressly disclaims beneficial ownership of the shares of Common Stock of the Issuer owned by Ernst Ohnell.
 
 

(b) Ernst Ohnell has the sole power to vote, and the sole power to dispose of, 127,700 shares of the Common Stock of the Issuer. Ernst Ohnell may be deemed to have shared power to vote, and shared power to dispose of, 39,000 shares of Common Stock of the Issuer owned by Patricia R. Ohnell. Ernst Ohnell expressly disclaims any shared power to vote or direct the vote of, or any shared power to dispose of or direct the disposition of, any of the shares of Common Stock of the Issuer owned by Patricia R. Ohnell.

Patricia R. Ohnell has the sole power to vote, and the sole power to dispose of, 39,000 shares of the Common Stock of the Issuer. Patricia R. Ohnell may be deemed to have shared power to vote, and shared power to dispose of, 127,700 shares of Common Stock of the Issuer owned by Ernst Ohnell. Patricia R. Ohnell expressly disclaims any shared power to vote or direct the vote of, or any shared power to dispose of or direct the disposition of, any of the shares of Common Stock of the Issuer owned by Ernst Ohnell.
